Terms of Use

These Terms of Use govern the access and use of the MedicaBazaar digital e-commerce and B2B marketplace platform ("Website" or "Platform") owned and operated by SAĞLIK YAYINCILIK YAZILIM BİLİŞİM LTD ŞTİ. ("Company" or "MedicaBazaar"), registered at Ümit Mah. 2531 Sokak No:13 Ümitköy Ankara, Turkey.

All individuals and legal entities ("Users") who access, browse, register with, generate content on, or benefit from the services offered on the Website are deemed to have irrevocably read, understood, and agreed to be bound by all the provisions of these Terms of Use.

1. NATURE OF THE PLATFORM & INTERMEDIARY SERVICE PROVIDER STATUS

MedicaBazaar holds the legal status of an "Intermediary Service Provider" pursuant to Law No. 6563 on the Regulation of Electronic Commerce and applicable electronic commerce directives. The Platform operates as an intermediary digital infrastructure facilitating commercial B2B communications, product catalog listings, Requests for Quotation (RFQ), and procurement transactions between medical manufacturers, distributors, and suppliers ("Sellers") and healthcare institutions, hospitals, clinics, medical practitioners, and purchasing professionals ("Buyers").

Unless expressly and in writing stated as sold directly by the Company, MedicaBazaar is not the manufacturer, owner, seller, importer, or legal guarantor of products, services, or quotes listed by third-party Sellers on the Website. MedicaBazaar does not warrant stock availability, quality, authenticity, compliance, delivery, or technical specifications of goods listed by third parties. Sales and supply agreements are executed exclusively and directly between the Buyer and the Seller.

2. MEDICAL & HEALTHCARE DISCLAIMER (NO MEDICAL ADVICE)

All product listings, technical datasheets, specifications, descriptions, media, and articles published on the Website are provided solely for commercial informational purposes. Nothing contained on the Website constitutes medical diagnosis, therapeutic advice, clinical prescription, or healthcare professional counsel.

The clinical application, operation, and handling of medical devices, diagnostic equipment, surgical instruments, and medical consumables procured via the Platform remain exclusively under the professional judgment and legal responsibility of qualified healthcare practitioners and licensed medical institutions. MedicaBazaar disclaims all liability for any direct, indirect, consequential, physical, or financial harm resulting from the improper or unauthorized use of any equipment or product.

3. MEMBERSHIP, ACCOUNT SECURITY & USER WARRANTIES

Users warrant and undertake that all corporate credentials, company legal names, tax identification numbers, official addresses, licensing details, and authorized representative information provided during registration or usage are authentic, complete, and current. Any legal or financial liability arising from false or deceptive representations rests entirely upon the User.

Users are solely responsible for preserving the confidentiality of their account credentials, passwords, and access tokens. MedicaBazaar shall not be held liable for unauthorized access or damages arising from compromised credentials. All operations and transactions carried out through a User account shall be legally recognized as authorized and executed by that User.

4. REGULATORY COMPLIANCE AND VENDOR OBLIGATIONS

All Sellers listing or offering products on the Platform warrant and covenant that:

• All products comply strictly with relevant Ministry of Health regulations, Medical Device Tracking Systems (UTS / TITCK), and applicable national/international healthcare rules;
• All medical devices possess valid CE markings, requisite ISO/GMP certifications, import permits, and conformity declarations (including EU MDR/IVDR compliance where applicable);
• Products are authentic, authorized for commercial trade, and free from intellectual property infringements, counterfeits, or unauthorized imports;
• Pricing, invoicing, logistics/delivery, and warranty obligations are fulfilled accurately and in good faith.

MedicaBazaar reserves the right to immediately delist non-compliant products, suspend accounts, and report regulatory breaches to relevant governmental authorities. If MedicaBazaar incurs legal or administrative penalties due to a Seller's unlawful acts, the Company reserves full right of recourse against the responsible Seller.

5. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS

All software source code, database architectures, user interface designs, visual layouts, registered trademarks, logos, trade dress, text, and domain names associated with MedicaBazaar are the exclusive property of SAĞLIK YAYINCILIK YAZILIM BİLİŞİM LTD ŞTİ. and are protected by applicable intellectual property statutes and international conventions.

Reproduction, reverse engineering, decompilation, scraping, automated data harvesting, crawling, or redistribution of any platform components or content without the Company's prior express written authorization is strictly prohibited.

6. ACCEPTABLE USE & SYSTEM INTEGRITY

Users shall not engage in activities designed to disrupt platform stability, overload server infrastructure, bypass authentication or rate limits, inject malicious code, trojans, or conduct vulnerability scans. Any malicious interference or hacking attempts will be subject to immediate IP blacklisting and formal criminal prosecution under cybercrime laws.

7. LIMITATION OF LIABILITY

MedicaBazaar employs commercially reasonable security safeguards and technical diligence to maintain platform continuity and data integrity. Nevertheless, the Company does not warrant uninterrupted, error-free, or entirely bug-free operation. MedicaBazaar shall not be liable for indirect, punitive, special, or consequential damages, loss of business opportunity, loss of anticipated profits, or commercial interruption.

To the maximum extent permitted by applicable law, MedicaBazaar's aggregate financial liability under all claims arising from or related to platform usage shall be strictly capped at the total service fees actually paid by the User to MedicaBazaar within the preceding 12 (twelve) months.

8. FORCE MAJEURE

Neither party shall be held liable for delay or failure to perform obligations resulting from events beyond reasonable control, including natural disasters, warfare, government mandates, trade embargoes, national telecommunication or electrical grid failures, pandemic restrictions, or widespread cyber warfare.

9. AMENDMENTS, SUSPENSION AND TERMINATION

MedicaBazaar reserves the right to modify or update these Terms of Use at its discretion at any time. Amended terms shall take effect immediately upon their publication on the Website. Continued usage of the Platform following amendments constitutes binding acceptance.

MedicaBazaar may suspend or terminate User accounts immediately without prior notice and without liability if the User violates these Terms of Use, breaches applicable laws, or endangers system security.

10. GOVERNING LAW AND JURISDICTION

These Terms of Use and any disputes or claims arising out of or in connection with the Platform shall be governed by and construed in accordance with the laws of the Republic of Turkey. The Courts and Enforcement Offices of Ankara, Turkey (Ankara Mahkemeleri ve İcra Daireleri) shall have exclusive jurisdiction over any legal proceedings.
